1. Acceptance of Terms
By downloading, installing, or using the DLens SDK ("SDK"), accessing the dlens.io website ("Website"), or requesting a licence key, you ("Licensee" or "you") agree to be bound by these Terms of Service ("Terms"). If you are using the SDK on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. Licence Grant
Subject to your compliance with these Terms and payment of applicable fees, DLens grants you a limited, non-exclusive, non-transferable, non-sublicensable licence to:
- Integrate the SDK into your iOS application(s)
- Distribute the SDK as part of your compiled application(s) to end users
- Use the SDK for the commercial or non-commercial purposes described in your licence plan
The licence key issued to you is specific to the bundle ID(s) registered at the time of purchase. Use of the SDK in applications other than those registered requires a separate licence.
3. Restrictions
You may not:
- Reverse engineer, decompile, disassemble, or attempt to extract the source code of the SDK
- Remove, obscure, or alter any copyright, trademark, or proprietary notices in the SDK
- Sublicence, sell, resell, transfer, or redistribute the SDK as a standalone product
- Use the SDK to build a competing document scanning SDK or service
- Share licence keys with third parties
- Use the SDK in applications that violate applicable laws or regulations
4. Trial Licences
Trial licence keys are issued free of charge for a period of 30 days. Trial licences are for evaluation purposes only and may not be used in production applications distributed to end users. After the trial period expires, the SDK will cease to function until a paid licence is obtained.
5. Fees and Payment
Paid licences are billed annually in advance. All fees are non-refundable except where required by applicable law. Failure to pay renewal fees will result in licence key deactivation. Prices are listed in USD and are subject to change with 60 days' notice.
6. Data and Privacy
DLens processes all document scanning entirely on the end user's device. DLens does not receive, collect, store, or transmit any personal data or document content from end users. You remain solely responsible for your application's compliance with applicable privacy laws, including GDPR, CCPA, and any other data protection regulations relevant to your jurisdiction and use case.
7. Intellectual Property
The SDK, including all algorithms, source code, object code, documentation, and associated materials, is and remains the exclusive intellectual property of DLens. These Terms do not transfer any ownership rights to you. All rights not expressly granted herein are reserved by DLens.
8. Warranties and Disclaimer
THE SDK IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. DLENS DOES NOT WARRANT THAT THE SDK WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT ALL DOCUMENT TYPES WILL BE SUCCESSFULLY PARSED IN ALL CONDITIONS.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DLENS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SDK, EVEN IF DLENS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. DLENS'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless DLens from any claims, damages, liabilities, costs, and expenses (including legal fees) arising from your use of the SDK, your application, or your violation of these Terms.
11. Termination
DLens may terminate your licence immediately upon written notice if you breach these Terms. Upon termination, you must cease all use of the SDK and delete all copies. Sections 7, 8, 9, and 10 survive termination.
12. Governing Law
These Terms are governed by and construed in accordance with applicable law. Any disputes shall be resolved through binding arbitration, except that either party may seek injunctive relief in any court of competent jurisdiction.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email to the address associated with your licence. Continued use of the SDK after the effective date constitutes acceptance of the revised Terms.
